SaaS Terms and Conditions

SaaS Terms and Conditions

These SaaS Terms and Conditions ("Terms") govern access to and use of the OPS-APP software platform and related services.

By accessing or using the Services, you agree to be bound by these Terms.

  

1. Company Details

The Services are provided by OPSAPP GLOBAL LIMITED(Company Number 16903097), trading as OPS-APP("OPS-APP", "we", "us", or "our").

2. Definitions

  • Services     means the OPS-APP software platform, website, and related services.
  • Customer     means the business entity entering into a contract with OPS-APP.
  • Authorised      Users means individuals authorised by the Customer to use the      Services.
  • Customer      Data means all data submitted to the Services by or on behalf of the      Customer.

  

3. Provision of Services

OPS-APP grants the Customer a non-exclusive, non-transferable, limited licence to access and use the Services during the term of the agreement, solely for the Customer’s internal business purposes.

OPS-APP may update, modify, or enhance the Services from time to time.

  

4. Customer Responsibilities

The Customer shall:

  • Ensure      Authorised Users comply with these Terms
  • Maintain      the confidentiality of login credentials
  • Ensure      Customer Data is lawful and accurate
  • Comply      with all applicable laws, including data protection and health &      safety regulations

The Customer is responsible for all activity carried out under its account.

  

5. Acceptable Use

The Customer and Authorised Users must not:

  • Use      the Services for unlawful purposes
  • Upload      malicious code or attempt unauthorised access
  • Interfere      with the security or performance of the Services
  • Reverse      engineer or copy the platform except as permitted by law

  

6. Fees and Payment

Fees, billing periods, and payment terms shall be as set out in the applicable order form or agreement.

OPS-APP may suspend access for overdue payments following reasonable notice.

  

7. Intellectual Property

All intellectual property rights in the Services remain the property of OPS-APP or its licensors.

The Customer retains ownership of Customer Data.

  

8. Data Protection

Each party shall comply with applicable data protection laws.

Where OPS-APP processes personal data on behalf of the Customer, such processing is governed by the OPS-APP Data Processing Agreement.

  

9. Confidentiality

Each party shall keep confidential any non-public information disclosed by the other party and use it only for purposes related to the Services.

  

10. Availability and Support

OPS-APP will use reasonable efforts to make the Services available but does not guarantee uninterrupted or error-free operation.

Support levels may vary depending on the service plan.

  

11. Suspension and Termination

OPS-APP may suspend or terminate access where:

  • These      Terms are breached
  • Payment      is overdue
  • Required      by law

Either party may terminate in accordance with the applicable agreement.

  

12. Liability

To the maximum extent permitted by law:

  • OPS-APP      shall not be liable for indirect or consequential loss
  • Total      liability shall be limited to fees paid by the Customer in the 12 months      preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by negligence or fraud.

  

13. Indemnity

The Customer shall indemnify OPS-APP against claims arising from unlawful use of the Services or Customer Data.

  

14. Force Majeure

Neither party shall be liable for failure to perform due to events beyond reasonable control.

  

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

  

16. Changes to These Terms

OPS-APP may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
